1) Scope and Agreement
These Terms govern your use of the NurtureNet.ca website and related platform features (the “Platform”). By accessing or using the Platform, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Important: These Terms do not govern the professional services you may book with an Independent Professional. Any appointment, cancellation, rescheduling, refund, or outcome is governed solely by the separate agreement between you (or your family) and the Independent Professional.
2) Our Role: Facilitator / Venue Only
- NurtureNet is a technology facilitator that allows Clients to discover, contact, and book Independent Professionals.
- NurtureNet does not provide the listed services, is not a clinic or employer, and is not a party to Client↔Independent Professional service contracts.
- NurtureNet does not control or guarantee schedules, pricing, availability, qualifications, results, or safety of any services listed by Independent Professionals.
- NurtureNet is not responsible for appointments, cancellations, reschedules, no-shows, lateness, refunds, chargebacks, or outcomes of any service. Those matters are determined and handled exclusively by the Client and the Independent Professional under their contract and the Independent Professional’s own policies.
3) Eligibility & Accounts
- You must be the age of majority in your province/territory or use the Platform with a parent/guardian who accepts these Terms.
- Keep your registration information accurate and secure; you are responsible for all activity under your account.
- We may (but are not required to) verify identity or credentials of Independent Professionals; any checks we do are limited and do not constitute an endorsement or guarantee.
4) Platform Pricing, Fees & Taxes (for Site Use)
NurtureNet may charge Platform fees for using certain Platform features (e.g., listing, subscription, transaction facilitation). Exact amounts are shown in your account or at checkout and may be updated periodically (with any legally required notice/consent).
- Currency & taxes: All amounts are in CAD. Applicable taxes (e.g., GST/HST/QST) may be charged on Platform fees. Independent Professionals are responsible for their own taxes on their services.
- Payment processing: Payments may be handled by third-party processors. You authorize them to charge your payment method and handle payouts/chargebacks subject to their terms.
- Non-refundability: Platform fees are generally non-refundable except where required by law or expressly stated by NurtureNet in writing. (Service refunds—if any—are between Client and Independent Professional.)
5) Appointments, Cancellations & Refunds (Client↔Independent Professional Only)
- All appointment policies (including cancellation, rescheduling, late/no-show charges, refunds) are set by each Independent Professional and form part of your separate agreement with that Independent Professional.
- Any disputes about scheduling, performance, quality, or refunds are between Client and Independent Professional. NurtureNet may offer optional tools to communicate or report issues but has no obligation to mediate or resolve such disputes.
6) Independent Professionals: Independence & Obligations
Independent Professionals are independent and solely responsible for:
- holding and maintaining all required licenses, certifications, and insurance;
- compliance with all applicable laws and professional/college rules;
- accurate listings (pricing, scope, availability, policies); and
- their own client contracts, records, safety practices, and tax obligations.
NurtureNet may remove or suspend listings that appear unlawful, unsafe, misleading, or violate these Terms.
6A) Families / Clients: Independence & Obligations
Clients (including parents, guardians, or other family members using the Platform to find services) are independent parties and solely responsible for:
- using the Platform only as a means of discovering and contacting Independent Professionals;
- independently assessing and selecting any Independent Professional, including verifying qualifications, experience, and suitability for their family’s needs;
- entering into and managing their own separate agreements, appointments, and payments directly with Independent Professionals; and
- complying with all applicable laws, including employment, tax, and privacy obligations, that may arise from any service arrangements they enter into.
NurtureNet does not employ, or direct any Independent Professional.
NurtureNet may suspend or remove Client accounts that appear to misuse the Platform, attempt to circumvent fees, or otherwise violate these Terms.
7) Acceptable Use (for Site Use)
You agree not to: (a) break laws or infringe rights; (b) post misleading, illegal, hateful, or harmful content; (c) harass, dox, or endanger users; (d) attempt to bypass fees or Platform controls; (e) interfere with Platform security or operations; (f) collect or process others’ personal information without lawful authority and consent where required.
8) User Content, Listings & Reviews
- You retain ownership of content you submit but grant NurtureNet a worldwide, royalty-free license to host, display, index, adapt, and promote such content to operate and improve the Platform.
- Reviews must be truthful and based on real experiences. We may moderate or remove unlawful or abusive content.
9) Privacy & Communications
We handle personal information per our Privacy Policy and applicable privacy laws (including Quebec’s private-sector law and Canada’s federal privacy law, as applicable).
We may send you transactional and security notices. Marketing communications require appropriate consent; you can opt out anytime.
10) Health / Emergency Notice
NurtureNet does not provide medical, legal, or emergency services. For emergencies, call 911 or your local emergency number. Any professional advice or care is provided exclusively by the Independent Professional you choose.
11) Disclaimers (Platform)
The Platform is provided “as is” and “as available.” We make no warranties—express, implied, or statutory—regarding availability, accuracy, or suitability, and we do not warrant any particular outcome from engaging an Independent Professional. Nothing here limits any non-waivable rights under applicable consumer laws (including Quebec).
12) Limitation of Liability (Platform Use Only)
To the maximum extent permitted by law, NurtureNet and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, lost profits, loss of data, or reputational harm arising from your use of the Platform. Our total aggregate liability for any claim relating to Platform use will not exceed the greater of: (a) the Platform fees you paid to NurtureNet in the 12 months before the claim, or (b) CAD $100. This section does not limit liability that cannot be excluded under applicable law.
13) Indemnity
You agree to defend and indemnify NurtureNet from third-party claims arising out of: (i) your breach of these Terms; (ii) your misuse of the Platform; (iii) your content; or (iv) if you are an Independent Professional, your services, policies, or representations—except to the extent caused by NurtureNet’s breach of law or these Terms.
14) Suspension & Termination
We may suspend or terminate access for policy violations, fraud risk, legal/regulatory reasons, or non-payment of Platform fees. You may close your account any time (subject to outstanding obligations on your Client↔Independent Professional contracts, which are outside our control). We may retain records as required by law.
15) Changes to the Platform or Terms
We may update features or these Terms. We will post the revised Terms with an effective date and provide any notices or obtain any consents required by applicable law (including Quebec consumer rules, where applicable).
16) Governing Law and Forum (Quebec)
These Terms are governed by the laws of Quebec and the federal laws of Canada applicable in Quebec. Disputes relating to Platform use may be brought before the courts of the Judicial District of Montréal (Quebec), subject to any mandatory consumer-protection rules that grant you another forum.
For Quebec consumers: to the extent required by law, any clause that would restrict your right to bring an action before a court or to participate in a class action is not enforceable.
17) Language (Quebec)
A French version of these Terms will be made available. In the event of any discrepancy between language versions, the version mandated by Quebec law prevails.
